    A large part of our corporate offering consists of the provision of legal advice in relation to the formation of companies, establishment of branch and representative offices, and related agency and sponsorship arrangements, both inside and outside the UAE's free zones. The firm has acted in the establishment of the majority of the premier public and private joint stock companies in the UAE.

    Managing for successful outcomes is our strength. Whether completing a groundbreaking public equities offering or setting up a business in a free zone, our 40+ years of experience in the UAE ensures our clients receive a well-rounded and considered service.

    We have led the industry on numerous matters such as playing an instrumental role in establishing the legal framework governing private placements and IPO prospectus preparation in the UAE. Indeed, our lawyers pioneered Western-style IPOs in the UAE, and have advised on more IPOs in Abu Dhabi and Dubai than any other law firm. On many occasions, we have assisted in the creation of procedures and standards used by governmental authorities.

    • Advising Silal, a division of ADQ, on its acquisition of a majority stake in Sherwood, a leading UAE agricultural input and pest management solutions distributor.
    • Advising Q Holding, Abu Dhabi’s leading real estate development and investment company, on their successful acquisition with ADQ Real Estate and Hospitality LLC (ADQ) and IHC Capital Holding LLC to acquire 100 % of the share capital for Abu Dhabi National Exhibitions Company PJSC (ADNEC Group), Modon Properties PJSC and other companies and real estate assets. The acquisition creates one of the largest real estate, hospitality, events and catering platforms in the region and combines key real estate assets under one single entity whilst significantly expanding their international portfolio.
    • Advising Gulf Islamic Investments in relation to its sale of a majority stake in its real estate unit to Brookfield Asset Management.
    • Advising ista on the acquisition of the entire issued share capital of Techem Energy Services LLC.
    • Advising Jacobs & Thompson, an international elastomeric foam supplier headquartered in Canada, on its acquisition of Ramfoam Limited, a manufacturer and distributor of polyethylene materials based in the UAE and UK.
    • Advising the owners of ASG Engineering Consultants LLC on the sale of the company to NV5, a US listed entity.
    • Advising Voodoo SAS, a French video game developer and publisher, on its acquisition of a majority stake in Tarboosh, a game studio based in the UAE.
    • Advising Al Dobowi Industrial Rubber Services on its entry into a joint venture in the UAE, Oman and Qatar with Rema Tip Top to operate under the brand name Rema Tip Top Middle East. 
    • Advising the shareholders in Emircom, an information and communications technology provider, on the sale of a majority stake to International Holding Company for AED250 million.
    • Advising the shareholders of Pharmaceuticals FZ-LLC, a leading UAE pharmaceuticals manufacturer, on the sale of 100% of the share capital to ADQ.
    • Advising the shareholders of Al Ittihad Drug Store, a leading UAE pharmaceuticals distributor, on the sale of 100% of the share capital to Global One Healthcare Holding, a division of Yas Holding.
    • Advising Bain Capital, one of the world’s leading multi-asset alternative investment firms, on a USD130 million investment in a film production and distribution company headquartered in India and with operations in Dubai.
    • Advising Uniper, a an international energy company headquartered in Germany, on the sale of its UAE-based crude oil processing and marine fuel trading business to a consortium of Montfort Group and the Private Office of Sheikh Ahmed Dalmook Al Maktoum.
    • Advising the shareholders of the Bayara group on the sale of an equity interest to Levant Capital.
    • Advising HDR Inc., a leading US engineering and architecture firm, on the sale of its Dubai subsidiary.
    • Advising Siniora Food Industries (a Jordanian listed company) on its acquisition of Diamond Meat Processing.
    • Advising PSAV, a global leader in event experiences, on the acquisition of eclipse group, a leading audio-visual and live production and venue company which manages events in Dubai, Abu Dhabi and Riyadh.
    • Advising (in a local counsel capacity) Marlin Equity Partners on its acquisition of Marcura Group, a leading vertical software, data intelligence and payments platform for the maritime industry.
    • Advising the owners of a major retail business operating across the GCC with over 100 branches on the sale of their business to one of National Holding's key subsidiaries.
    • Advising (in a local counsel capacity) Access Group on its acquisition of Construction Industry Solutions, a leading construction management software and services company providing end-to-end business solutions to the contracting, home building and service management sectors, globally.
    • Advising International Petroleum Investment Company PJSC (IPIC), in connection with the merger between IPIC and Mubadala Development Company PJSC.
