  • Pooja is an Associate in the Regulatory & Government Advisory department at Hadef & Partners.

    Pooja advises public and private sector clients on a wide range of regulatory and compliance matters, including developing legislative frameworks across multiple industries.

    Before joining Hadef & Partners, Pooja was part of  a top tier law firm in Australia, where she obtained experience in commercial transactions across a full range of sectors (including financial services, government and infrastructure industries) and a client base that spanned domestic and international markets.

    She has worked on a range of complex matters for high-profile clients including corporations and government agencies and not-for-profit. Her broad tax advisory experience spans across complex income tax issues, including those relating to partnership and trust taxation, with a special interest in international tax issues in inbound and outbound investments and debt and equity offers.

    Pooja holds a Bachelor of Laws from the University of Technology Sydney and is admitted to the NSW Supreme Court and High Court of Australia. She is in the process of completing her masters in law from the University of Sydney.

    Pooja is fluent in English written and spoken, and in Hindi (spoken only).

  • Representative Matters

    • Telecom provider: advised one of Australia’s largest telecom provider on the proposed disposal of its subsidiary (a provider of dark fibre services across approximately 5,500km of fiber optic cable, 800km of installed ducts and owner of over 6,000 telco pits across Australia). The transaction was structured as a share sale and incorporated a complex pre-completion restructure and FIRB approval.
    • Multinational pharmaceuticals wholesaler: advised, and prepared related class ruling application, on a unique and one of a kind customer equity incentive plan, including advice on issues relating to debt / equity characterisation, derivation of income and deemed derivation of income, value shifting and characterisation as traditional or qualifying securities.
    • Alternative real estate investment manager: advised client on interest withholding tax implications of transaction, including in respect of s 128F exemption and exemption available under applicable double tax agreement. Advised on structuring considerations, including interest withholding tax gross-up and representations / warranties in debt documents.
