  • Mahmoud is a Senior Associate in the Corporate and M&A practice in Abu Dhabi. Mahmoud has over 19 years of experience in the legal field acquired in both Egypt and the UAE. He is regularly involved in corporate structuring and reorganizations matters. Mahmoud has also worked on several transactions for leading and international companies in relation to due diligence reports, as well as negotiating and drafting transactional documentation. 

    Prior to joining Hadef & Partners, Mahmoud worked for a regional law firm. He also worked in the legal department of one of the region’s largest property development companies, based in Dubai. Mahmoud obtained his law degree from Cairo University in 2005. He is a member of the Egyptian Bar Association and admitted before the Egyptian Court of Supreme. Mahmoud is fluent in Arabic and English.

    • Advised Amanat Holdings PJSC on its acquisition of a majority stake in VPS Group, a regional healthcare group, as disclosed on DFM.
    • Advised Abraaj Group on the sale of multiple investments in the UAE and across the region, including the sale of its stake in Spinneys Group Limited, a Cayman Island holding entity and its indirect stake in Enshaa PSC.
    • Advised Siraj Power Holding Limited on the acquisition of 100% of Enviromena Solar Energy System Rental LLC from Arjun Infrastructure Renewables Limited.
    • Advised Pharos Holding for Financial Investments SAE on the sale of 100% of Pharos Gulf Limited, a DFSA regulated company in the DIFC.
    • Advised Mubadala Development Company PJSC on the acquisition of Sowwah Square Investment LLC by virtue of the exercise of a put option for a value of approximately AED 307 million.
    • Advised Mubadala Development Company PJSC on the sale of a stake in the company that developed and operates the Zayed University Campus to Nonghyup Bank Korea for a value of USD 128 million.
    • Advised on the acquisition of Al Safwa Mubasher (currently BH Mubabser), a private joint stock company listed on DFM in 2019 for approximately AED 230 million.
    • Advised Eni on the acquisition of a stake in Adnoc Refinery completed in early 2019 for a value of USD 3.3 Billion.
    • Advised Amanat Holding PJSC on the acquisition of a strategic stake in Abu Dhabi University PJSC, in the UAE in 2018.
    • Advising Phoenix Group Plc, the Abu Dhabi based blockchain and crypto solutions company, as lead counsel on its initial public offering and listing on the Abu Dhabi Securities Exchange (ADX).
