  • Hadef & Partners has a seasoned restructuring and insolvency practice providing strategic legal counsel to companies facing financial distress, as well as creditors, investors, and court-appointed trustees. Our team has extensive experience guiding clients through the complexities of restructuring, bankruptcy, and insolvency proceedings under UAE laws. We represent debtors, creditors' committees, liquidators, and other stakeholders in negotiating restructuring plans, asset dispositions, distressed M&A transactions, and bankruptcy litigation.

    Our restructuring approach focuses on developing innovative, customized solutions to preserve and maximize value for our clients. We collaborate closely to analyze financial positions, assess viability and leverage the full range of legal tools to restructure debt, reorganize operations or pursue an orderly wind-down strategy as needed. Our lawyers' deep capabilities span advising on regulatory issues, directors' duties, employee matters, asset tracing, clawback actions and cross-border insolvency protocols.

    • Successfully advised the KBBO Group in relation to a first of its kind restructuring in the Abu Dhabi courts.
    • Successfully advised and represented Drake & Scull International PJSC in a first of its kind restructuring under the Emergency Restructuring Procedures introduced in the wake of financial instability caused by the COVID-19 pandemic.
    • Advised the UAE Ministry of Finance on the preparation of a Draft Federal Law on Bankruptcy and Financial Restructuring.
    • Advising a multinational corporation in defending bankruptcy claims initiated by high-net-worth individuals in the UAE Court aimed at staying execution proceedings commenced by creditors for a claim value exceeding AED350 million.
    • Acting for the liquidator, alongside a UK firm in a complex restructuring by a BVI liquidator, arising out of allegations of fraud and financial mismanagement by certain companies in the group.
    • Advising a leading UK trade financier in respect of a number of proceedings against their defaulting debtors located in the UAE.
    • Advising a private equity backed US company in respect of a shareholder dispute with a Ras Al Khaimah Economic Zone Company.
    • Advising an Abu Dhabi bank in relation to a claim of AED 600 million.

      Landmark Dubai Judgment Unwinding Dissipation of Assets and Protecting Creditors

      Debtors in the UAE will now find it more difficult to dissipate assets or otherwise wrongfully avoid satisfying a judgment against them. Creditors enforcing a judgment in the UAE are often in a race against time to secure assets from debtors willing to shield assets through various means. One of the main considerations of whether assets have been dissipated is the timing of the transfer. In a recent recovery case, we explore how simply transferring assets prior to a date of judgment alone is not sufficient to prevent a creditor’s recovery.
